Introduction and Definitions

  1. AsaDirect is a trading entity of Marketize Ltd, henceforth referred to as “the company”, “we” or “us”.
  2. The customer is defined as any individual or organization listed on the Distribution request form and/or Client Account application and shall be referred to as “the customer” or “client”.

Distribution Material

All promotional material to be distributed:

  1. Should be a single sheet unless prior arrangements have been made.
  2. Cannot include any form of staples, pins, or attachments.
  3. Must be no smaller than A7 and no larger than A1 in size.
  4. Must weigh less than 400g per leaflet.
  5. All flyers must have the same dimensions and weight.
  6. Only one business can be promoted per leaflet.
  7. Quoted prices assume materials weigh 80 GSM per page unless stated otherwise.
  8. Quotations are provisional and subject to change based on actual size and weight.

Delivery and Packaging

  1. Orders may be placed in-person, over the phone, or by returning a filled-out campaign order form via email or post.
  2. All promotional material must be delivered to our address before 6.30 p.m. on the specified date.
  3. We offer free collection services within London for printing orders or distribution orders exceeding £250. For smaller deliveries or longer distances, a per-mile charge may apply for collection or delivery.
  4. Individual cartons should not weigh more than 15kg.
  5. Each carton must contain identical items only.
  6. Each box must be clearly labeled with the customer's name and other relevant details.
  7. If more than one project is ongoing, specific job numbers or distribution areas should be labeled on each carton.
  8. Distribution costs cater only to the agreed number of leaflets, packaged securely as per our terms, with a right to extend charges or reject materials that fail to meet the agreed specifications.
  9. Delays due to errors or discrepancies in supplied quantities will result in rescheduling to the next available time slot.

Distribution & GPS Tracking

  1. Distribution usually commences within a week from the campaign's start date to specified houses or postcodes.
  2. Weather conditions or unforeseen circumstances may affect delivery times.
  3. Inclement weather or unforeseen circumstances may necessitate variations in the distribution schedule.
  4. For specific requirements, there might be extra charges not exceeding £35 per map for alterations or amendments.
  5. We deploy GPS technology to ensure the safe and prompt delivery of promotional materials.
  6. While we strive to deliver all promotional material, we do not guarantee delivery to all addresses within the agreed geographical location. A maximum of eighty percent delivery is deemed acceptable.

Distribution Queries

  1. We undertake to investigate any queries, provided they are reported within 48 hours, with enough information for a thorough investigation.
  2. We do not guarantee total distribution to all postcode sectors.

Cancellation, Alterations & Terminations

  1. Either party is entitled to terminate the contract following a 30 days’ notice period.
  2. Cancellation or alteration of distribution must be communicated at least one month in advance to avoid penalties.
  3. Immediate termination of distributions will follow any bankruptcy or liquidation proceedings involving the customer.

Payments

  1. Full payment must reflect in our account before commencing the delivery process unless otherwise agreed in writing.
  2. Set-Offs are not acceptable.
  3. Dishonored payments will incur an extra fee of £35.
  4. Late payments will attract a surcharge.
  5. Untimely payments may result in the cancellation of deliveries.
  6. Immediate payment of all dues is mandatory in the occurrence of bankruptcy, liquidation, winding up, or any similar event concerning the customer.

Content Standards

  1. The content must meet the necessary standards and guidelines.
  2. The customer is responsible for ensuring that Items conform to our regulations and other relevant laws.
  3. We reserve the right to reject orders deemed inappropriate or damaging to our reputation.
  4. We will not accept delivery items that do not conform to our terms.
  5. Solus distribution may be required for material containing multiple adverts, to avoid trade conflicts.
  6. Undisclosed additional businesses or services may result in cancellation of the distribution.

Complaints Procedure & Guarantees

  1. Complaints must be lodged within 48 hours of the campaign’s completion.
  2. All complaints should be channeled through the official complaint communication channels.
  3. We cannot guarantee delivery to every letterbox within a designated distribution campaign.

General

  1. These terms and conditions supersede any others related to this contract.
  2. This contract falls under the purview of England's law.
  3. All correspondences should be addressed to our official address.
  4. Failure on our part to enforce any terms of this agreement does not constitute a waiver.

Monitoring

  1. Communication records for customer interactions may be kept for internal monitoring and legal reference.
